Western Cape high court dismisses appeal application in R8.3m Imalisoft deal battle 03.06.2026

The Western Cape high court has dismissed an application for leave to appeal by businessmen Stefanus van Wyk van der Hoven, Jacobus Reyneke van der Hoven, and Neil Frans Roets, upholding a prior ruling in favor of New Life Holdings. The dispute centers on over R8.3 million allegedly owed from the sale of a 25% shareholding and loan account in Imalisoft to Climealine on March 14, 2023, for a total price exceeding R8.6 million. The businessmen had provided a joint and several guarantee for Climealine's obligations, which New Life Holdings claimed Climealine defaulted on in December 2023. The respondents argued their liability was suspended due to a cancellation dispute and parallel litigation, but the court found the guarantee created independent payment obligations enforceable upon written demand, rejecting their pleas and ordering them to pay costs.
